Detailed Instructions:
Assume you are considering buying stock in the for-profit system or buying bonds in the not-for-profit system (alternatively, assume you are evaluating employment offers from both).
Obtain the most recent 10-K and Official Statement for the organizations; familiarize yourself with them. Pay particular attention to the table of contents for each.
Consider, compare and evaluate the following, among other things, disclosed in the documents:
Complete a comprehensive financial ratio analysis of each organization.
Compare the ratios to each other and industry averages (your text has industry information and there are numerous other sources including S&P Medians posted on Angel)).
What ratios are improving, declining? What are the implications?
Complete a market assessment of each. Where do they operate? What is their
market share? Is it increasing or decreasing? Who are their primary competitors? What have they said about their strategic plans for the future?
Turn to their patient mix. What are their current revenue sources by payor? Is it
favorable? How is it changing?
What have their recent merger/acquisition activities been? What benefits, if any,
inured?
What conclusions about their medical staffs have you reached? What physician models do they use?
What is the status of their employee relations? Are they “organized”. If so, to what extent? Have they experienced employee strikes?
How do they provide for malpractice insurance? What is their experience? Are
there unusual general litigation or malpractice issues?
Has the government alleged any fraud and abuse claims? If so, what are the
nature and implications of them?
Review the composition of the Board and management team.
Have there been any transparency issues of late? What is the governance model (corporate, parent holding, or modified parent holding).
Describe the facilities. Are they newer or older? What have capital expenditures
been over recent years? What percentage of depreciation has been spent over the past three years? What are future capital expenditure plans?
Describe where the organizations are with respect to the use of information
technology. Are they leading or trailing edge? What are the implications?
Review quality indices. How do they compare to each other? To the industry?
What market risk factors do the organizations disclose? Discuss and evaluate these?
Conclusions:
What have you concluded about the two? Which would you prefer to be an investor/creditor of or employed by and why?
